Non-Solicitation

During the term of this Agreement and for two (2) years following its termination:

• Client and Medwavez shall not:
  • Induce or advise clients or customers to patronize another similar business directly or indirectly.
  • Encourage withdrawal, curtailment, or cancellation of business with the other party.
  • Disclose customer or client names or addresses to any person or entity.
  • Induce or attempt to induce employees or former employees of the other party to leave employment or hire them.
  • Make disparaging statements about the other party or its affiliates to any person or entity.

Confidentiality

Each party shall maintain confidentiality and refrain from disclosing or using for their benefit any Confidential Information of the other party, except as necessary to perform under this Agreement.

Non-Competition

During this Agreement and for one (1) year post-termination, Client and Medwavez agree not to:

• Directly or indirectly engage in a competing business activity.
• Own, manage, operate, control, be employed by, participate in, or invest in a competing business entity.

Indemnification

Client shall indemnify, defend, and hold Medwavez harmless from claims, damages, losses, liabilities, and expenses arising from any breach of this Agreement.

Term and Termination

This Agreement commences on the last signature date and remains in force for one (1) year, automatically renewing for successive one (1) year terms unless either party provides written notice of non-renewal at least thirty (30) days before the current term’s expiration.

Either party may terminate for cause upon written notice if the other party:

• Breaches a material provision and fails to cure the breach within thirty (30) days of written notice.
• Commits an act of bankruptcy, insolvency, or initiates related proceedings.

Severability

Should a court find any provision invalid or unenforceable, it shall be enforced to the maximum extent permissible, while other provisions remain in effect.

Governing Law and Venue

This Agreement and its matters shall be governed by the internal laws of the State, without considering any choice or conflict of law provision or rule.
